Welcome to Sidekick. These Terms of Service ("Terms") govern your access to and use of the Sidekick platform, including our website, applications, and AI-powered business coaching services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Sidekick is an AI-powered platform designed to help solo founders and small business owners manage, grow, and track their businesses. The Service includes:

  • AI-powered business coaching and conversation
  • Weekly check-ins and progress tracking
  • Business insights and recommendations
  • Artifact generation (emails, plans, scripts, etc.)
  • Data export and reporting tools

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

4. Subscription and Payment

4.1 Free Trial

We may offer a free trial period. At the end of the trial, you will need to subscribe to continue using the Service.

4.2 Subscription Plans

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms.

4.3 Money-Back Guarantee

We offer a 14-day money-back guarantee for new subscribers. If you are not satisfied with the Service, you may request a full refund within 14 days of your initial subscription payment. After 14 days, all payments are non-refundable.

4.4 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings, and cancellation will take effect at the end of the current billing period.

4.5 Price Changes

We reserve the right to modify pricing with 30 days' notice. Price changes will not affect current subscription periods.

5. Intellectual Property

5.1 Our Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Sidekick Labs, LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

5.2 Your Content

You retain ownership of all content you submit to the Service ("Your Content"), including business information, conversations, and data. By using the Service, you grant us a limited, non-exclusive license to use Your Content solely to provide and improve the Service.

5.3 Generated Content

Content generated by our AI (such as recommendations, artifacts, and insights) based on Your Content is provided for your use. You may use this generated content for your business purposes.

6. Data Usage

6.1 Service Operation

We use Your Content to provide personalized AI coaching, generate insights, and operate the Service as described in our Privacy Policy.

6.2 Aggregated Data

We may create anonymized, aggregated data from Your Content that does not identify you or your business. We may use this aggregated data for any purpose, including:

  • Improving the Service and developing new features
  • Creating industry benchmarks and insights
  • Publishing reports and research
  • Marketing and promotional purposes

6.3 No Sale of Personal Data

We do not sell your personal information or identifiable business data to third parties.

7. AI and Recommendations

The Service uses artificial intelligence to provide business coaching and recommendations. You acknowledge that:

  • AI-generated content is for informational purposes only and does not constitute professional advice
  • You are solely responsible for business decisions made based on the Service
  • AI recommendations may not be suitable for your specific situation
  • You should consult qualified professionals for legal, financial, or other specialized advice

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful, fraudulent, or deceptive content
  • Attempt to gain unauthorized access to the Service
  • Interfere with the operation of the Service
  • Use automated systems to access the Service without permission
  • Resell or redistribute the Service without authorization

9. Termination

9.1 By You

You may cancel your subscription and delete your account at any time through the Service settings. Upon deletion, your data will be permanently removed.

9.2 By Us

We may suspend or terminate your access to the Service at any time for violation of these Terms, fraudulent activity, or any other reason at our discretion. We will attempt to provide notice when reasonable.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEKICK LABS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Sidekick Labs, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Sidekick Labs, LLC.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any provision does not waive our right to do so later.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
